1. PROMOTION DESCRIPTION:

The Valentine’s Day Giveaway (the “Promotion”) consists of one (1) grand prize, as set forth in greater detail herein, selected via entry through Instagram. The entry period is valid from February 12, 2025, at 9:00am PST through 11:59pm PST on February 15, 2025 (the “Entry Period”).

To enter, a person (hereinafter, “you” or the “Entrant”) must (i) like the giveaway post on @oseamalibu’s Instagram page, (ii) follow @oseamalibu, and (iii) tag another Instagram user in the comments and share what they love most about them. Entrants may only enter one time; additional entries will be disqualified.

Thereafter, OSEA shall select two winners to receive a prize, as set forth in greater detail below. Each individual winner shall hereinafter be referred to as a “Winner,” and collectively, the “Winners.”

By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of OSEA International, LLC, with an official address at 1795 Washington Way, Venice, CA 90291 (“OSEA”), which shall be final and binding in all respects.

2. ELIGIBILITY:

Only legal U.S. residents of the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age or older at the time of entry are eligible to enter and must not be employees, or immediate family members of employees, of OSEA. The Promotion is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

3. HOW TO ENTER:

To enter, an Entrant must:

Entrants may only enter one time; additional entries will be disqualified.

4. WINNER SELECTION AND NOTIFICATION:

The winner selection period of the Promotion shall commence on or around 9:00am PST on February 16, 2025, via the random selection process managed by OSEA (collectively, the “Selection Period”). OSEA thereafter will contact each respective Winner via Instagram Direct Message (DM) from @oseamalibu on February 18, 2025, by 6:00pm PST, informing the Entrant that they have won the Prize and providing instructions on how to claim the prize.

Time is of the essence in awarding a Prize. If, despite reasonable efforts, a potential winner does not respond within twenty-four (24) hours of the first notification attempt, or if the notification is returned as unclaimed or undeliverable, such potential winner may forfeit their prize and an alternate Winner may be selected.

If any potential winner is found to be ineligible, has not complied with these Official Rules, or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate Winner may be selected.

5. PRIZES:

Each Winner will receive the following:

• ✨ One $250 OSEA Gift Card for a person of their choice

(collectively, the “Prize”).

For clarity, two individual winners will be selected and awarded from Entrants on Instagram.

6. GENERAL PRIZE CONDITIONS:

The Prizes will be awarded only if the potential prize winner(s) fully comply with these Official Rules. All portions of the prize(s) are non-assignable and non-transferable. All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by OSEA in its sole discretion. No cash alternative or substitution of the Prize will be allowed.

7. ODDS:

The odds of winning depend on the number of eligible entries received.

8. LIMITATION OF LIABILITY:

By entering, Entrant agrees to release and hold harmless OSEA, and each of their respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur.

9. DISPUTES:

THIS PROMOTION IS GOVERNED BY THE LAWS OF THE U.S. AND THE STATE OF CALIFORNIA WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES.

As a condition of participating in this Promotion, Entrant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Los Angeles, California, having jurisdiction.
