Model Release

For good and valuable consideration, the receipt of which is hereby acknowledged by my signature, I hereby irrevocably authorize OSEA International, Inc., with its principal place of business at 1795 Washington Way, Venice, CA, 90291 (the “Company”) to use photographs of me and or my property set forth herein (collectively, the “Photographs”), and authorize the Company and its assignees, licensees, legal representatives and transferees to use and publish (with or without my name, company name, or with a fictitious name) the Photographs herein described, in any and all forms and media and in all manners including composite images or distorted representations, and for the purposes of publicity, illustration, commercial art, advertising, publishing (including publishing in electronic form on CDs or internet websites), for any product or services, or other lawful uses as may be determined by Company, in perpetuity. I agree that I have no rights to the Photographs and all rights belong to Company.

I hereby release, discharge, and agree to hold harmless Company, its representatives and assigns, and all persons acting under its permission or authority from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may occur or be produced in the taking of such Photographs or in any subsequent processing of them, as well as any publication of them, including without limitation any claims for libel or violation of any right of publicity or privacy. I further waive any and all rights to review or approve any uses of the Photographs, any written copy or finished product. I hereby warrant that I am at least 18 years of age and have the full legal capacity to execute this release. I have read the above authorization, and release, prior to its execution, and I am fully familiar with the contents of this release. This release shall be binding upon me and my heirs, legal representatives, and assigns and agree that this release is irrevocable, worldwide and perpetual.

This Agreement is the entire agreement between the parties and may not be amended except by a writing signed by both parties. This Agreement shall be governed by, and construed and enforced pursuant to, California law. The relationship of Model to Company pursuant to this Agreement shall be that of independent contractor. Model shall not be deemed to be an employee of Company for any purpose.
